Terms and Conditions

These Terms and Conditions (the “Terms”) apply to the use of https://imrosh.com (the “Website”) and to all services provided by Rosh Khan (“Rosh”, “I”, “me” or “my”) to you (the “Client”, “you” or “your”). By using this Website, requesting a quote, paying a deposit or approving a proposal, you agree to these Terms.

If a signed proposal or contract for your project says something different from these Terms, the proposal or contract will apply for that point.

1. My Services

I am a freelance website designer and developer. My services include:

  • Website design (layouts, mockups, style guides and user experience)
  • Website development on WordPress, Shopify and Squarespace
  • Website redesigns and store migrations
  • White-label design and development for agencies
  • On-page SEO (keywords, meta tags, headings, schema, speed and image optimization)
  • Ongoing website care, updates and support (if agreed)

The exact work, deliverables, timeline and price for each project (the “Scope”) will be listed in your proposal, quote or chosen package. Anything not listed in the Scope is not included.

2. Quotes and Proposals

  • Quotes and proposals are valid for 30 days from the date they are sent, unless stated otherwise.
  • Prices shown on the Website (including packages and the cost estimator) are starting prices or estimates. The final price is confirmed in your proposal.
  • A project starts once you approve the proposal and pay the deposit.

3. Payments

  • Most projects are paid in 2 or 3 parts: a deposit of 50% (we can discuss it further) to book your project, then the remaining amount at agreed milestones or before launch.
  • The deposit reserves time in my schedule and is non-refundable once work has started.
  • Invoices are due within 5 days unless the proposal says otherwise.
  • Payments are accepted by bank transfer and PayPal. Any bank or transfer fees are paid by the Client.
  • All prices are in USD and do not include taxes unless stated.
  • If a payment is more than 5 days late, I may pause work until it is paid. The website will not be launched or handed over until it is paid in full.
  • Monthly care plans are billed in advance and renew each month until cancelled.

4. Timelines

Most websites take about 2 to 4 weeks. Timelines are estimates and depend on you sending content, feedback and approvals on time. If feedback or content is delayed by more than 7 days, the project timeline will move and I may schedule your project after other work. Rush delivery is available for an extra fee if agreed in writing.

5. Your Responsibilities as the Client

To keep the project on track, you agree to:

  • Send text, images, logos, brand files and logins on time
  • Give clear, combined feedback within the agreed review periods
  • Make sure you own or have permission to use all content you send me (text, photos, videos, logos and fonts)
  • Check the final website content, prices and legal information before launch
  • Keep your website logins, hosting and domain details safe

You are responsible for the content on your website and for making sure it follows the laws that apply to your business.

6. Revisions and Changes

  • Each package or proposal includes a set number of revision rounds (for example, Starter includes 1 round and Business and Premium include 2 rounds).
  • A revision round means one combined list of changes to work already in the Scope.
  • Extra revision rounds, new pages, new features or changes to an already approved design are “change requests”. I will quote these separately before doing the work.
  • Large changes may also change the timeline.

7. Approval and Launch

Before launch, I will share the finished website for your review. Once you approve it, or if I receive no feedback within 7 days, the website is considered approved. After launch, small fixes for errors in my work are free for 14 days. New changes after that are billed at my hourly rate as per our mutual agreement or covered by a care plan.

8. Ownership and Rights

  • Once you have paid in full, you own the final website design, the content created for you and the right to use the website for your business.
  • Until full payment, all designs, files and code remain my property.
  • Third-party items such as WordPress, Shopify, Squarespace, themes, plugins, apps, fonts and stock images are owned by their creators and are covered by their own licenses. Some may need yearly renewal or paid subscriptions, paid by the Client.
  • I keep the right to reuse my own general tools, code snippets and methods in other projects.
  • Unless you ask me not to in writing, I may show your project (screenshots, a link and a short description) in my portfolio, case studies and social media. White-label projects are never shown without the agency’s permission.

9. Third-Party Platforms, Hosting and Domains

Your website runs on third-party platforms (such as WordPress, Shopify, Squarespace and your hosting company). I am not responsible for their outages, price changes, policy changes, security problems or updates that affect your website. Domain names, hosting, platform subscriptions, premium plugins and apps are paid by the Client and registered in the Client’s name where possible.

10. SEO Services

I follow current best practices for on-page SEO, but search engines like Google control their own rankings and change them often. I cannot guarantee any specific ranking, traffic level, number of leads or sales. Results usually take time and depend on many things outside my control, such as competition, content and search engine updates.

11. White-Label Services for Agencies

  • I work behind the scenes and do not contact or market to your clients directly, unless you ask me to.
  • I will keep all agency and client information confidential and can sign a separate NDA on request.
  • The agency is responsible for its relationship with its client, including client payments, approvals and communication.
  • Payment to me does not depend on whether the agency’s client pays the agency.

12. Website Care and Maintenance

If you choose a monthly care plan, it covers the tasks listed in that plan (for example, updates, backups, security checks and small content changes). Work outside the plan is quoted separately. You can cancel a care plan with 30 days’ written notice. Without a care plan, keeping the website, plugins and backups updated after launch is the Client’s responsibility.

13. Cancellation and Refunds

  • You may cancel a project at any time by email.
  • The deposit is non-refundable once work has started.
  • If you cancel after work has started, you will pay for all work completed up to the cancellation date.
  • If I need to cancel a project for reasons on my side, I will refund any payment for work not yet completed.
  • If a project is paused by the Client for more than 60 days, it may be treated as cancelled. Restarting it may need a new quote.

14. Confidentiality

Both of us agree to keep private any confidential information shared during the project, such as logins, business plans, pricing and customer data. This does not include information that is already public. Logins you share with me will only be used for your project.

15. Warranties and Limitation of Liability

  • I will provide my services with reasonable care and skill.
  • I do not promise that your website will be free of every error or that it will work without interruption forever, since it depends on third-party platforms, browsers and devices.
  • I am not responsible for any indirect loss, such as lost profits, lost data, lost business or damage caused by third-party services, hacking, or changes made by you or others after launch.
  • My total responsibility for any claim is limited to the amount you paid me for the project the claim is about.

16. Indemnity

You agree to protect me from any claims, costs or damages caused by content you provided (for example, images or text you did not have the right to use), your use of the website, or your breach of these Terms.

17. Using This Website

  • The content on this Website (text, design, graphics and portfolio images) belongs to me or is used with permission. You may not copy or reuse it without my written permission.
  • You agree not to misuse the Website, including sending spam through the forms, trying to hack it, or uploading harmful code.
  • Information on this Website is for general purposes and may change at any time.
  • Links to other websites are for convenience only. I am not responsible for their content.

18. Termination

Either of us may end a project in writing if the other seriously breaks these Terms and does not fix the problem within 14 days of being told. If the project ends, the Client pays for all work completed up to that date.

19. Governing Law and Disputes

These Terms are governed by the laws of the USA. If a disagreement comes up, we will first try to solve it through a friendly, honest conversation. If that does not work, the dispute will be handled by the courts of the USA.

20. Changes to These Terms

I may update these Terms from time to time. The latest version will always be on this page with the “Last updated” date. The Terms in place when you approved your proposal will apply to that project.
